Most California HOAs are formed as corporations under the California Corporations Code. The Corporations Code requires a corporation formed under its provisions to have specific corporate officers, which include, among others, a chair of the board, which is also referred to with gender variations. SB 351 would, among other changes, amend Corporations Code § 7213 to specifically expand the permissible titles relating to a chair of a board (i.e., “chair,” “chairperson,” “chairman,” “chairwoman,” etc.).

*UPDATE: SB 351 was approved on July 15, 2015 and its changes to the law will take effect on January 1, 2016.
