The office of a director is distinct from that of an officer in several respects:

| Term | Directors serve terms as set forth in the bylaws. | Officers serve at the pleasure of the board. |
| Removal | Directors may be removed (recalled) by the membership. | Officers may be removed by the board. |
| Voting | Directors have voting rights. | Officers do not have voting rights (only directors vote). |
| Qualifications | Director qualifications may be set forth in the governing documents. | Officer qualifications may be set forth in the governing documents. |
Individual directors often serve both in the capacity of an officer and as a director.
