Directors vs. Officers

The office of a director is distinct from that of an officer in several respects:

Directors Officers
Election Directors are elected by the membership. Officers are appointed by the board.
Term Directors serve terms as set forth in the bylaws. Officers serve at the pleasure of the board.
Removal Directors may be removed (recalled) by the membership. Officers may be removed by the board.
Voting Directors have voting rights. Officers do not have voting rights (only directors vote).
Qualifications Director qualifications may be set forth in the governing documents. Officer qualifications may be set forth in the governing documents.

Individual directors often serve both in the capacity of an officer and as a director.
